4. Product Information

We endeavour to provide accurate descriptions, dimensions, photographs, finishes, materials, specifications and other product information.

However, information displayed on our website, catalogues, social media, sample materials or marketing materials is provided for general reference unless expressly incorporated into an accepted quotation or sales order.

Minor differences may arise due to:

  • Manufacturing processes;

  • Hand-finishing;

  • Natural materials;

  • Production batches;

  • Lighting;

  • Photography;

  • Screen settings;

  • Supplier changes; or

  • Reasonable manufacturing tolerances.

We reserve the right to make minor technical or production changes that do not materially affect the overall function or intended appearance of a product.

5. Natural Materials and Colour Variation

Customers acknowledge that natural materials are inherently variable.

Products containing timber, veneer, stone, marble, leather, rattan, cane or other natural materials may contain differences in:

  • Grain;

  • Colour;

  • Texture;

  • Pattern;

  • Knots;

  • Veins;

  • Mineral markings;

  • Natural imperfections; and

  • Ageing characteristics.

Such characteristics are generally not manufacturing defects.

Timber and Veneer

Natural timber and veneer may vary in colour and grain between individual pieces and between production batches.

Timber may also change colour over time due to exposure to light, humidity and environmental conditions.

Fabrics and Leather

Colours may vary slightly between samples and production batches.

Leather may display scars, creases, grain differences and other characteristics associated with natural hides.

Stone and Marble

Natural stone may contain variations in veins, colour, pattern, pores, fissures or markings.

Unless expressly agreed otherwise in writing, exact matching between samples, images and finished products cannot be guaranteed.

6. Samples

Samples, swatches, images and prototypes are intended as representations only.

A production item may reasonably vary from a sample due to:

  • Different production batches;

  • Material availability;

  • Natural variation;

  • Dye-lot differences;

  • Manufacturing tolerances; or

  • Supplier production processes.

Approval of a sample means acceptance of the general material, colour, appearance and specification represented by that sample, subject to reasonable production variation.

7. Quotations

Unless otherwise stated, quotations are valid only for the period specified in the quotation.

If no validity period is stated, the quotation may be withdrawn or revised by us before acceptance.

Prices may be affected by changes in:

  • Material costs;

  • Supplier pricing;

  • Freight rates;

  • Foreign exchange rates;

  • Taxes;

  • Duties;

  • Government charges;

  • Shipping surcharges; or

  • Customer-requested changes.

A quotation does not constitute a binding obligation to supply until the order has been accepted by us and any required deposit or payment has been received.

8. Orders

An order becomes binding only when it is accepted by us.

We may decline an order before acceptance for reasons including:

  • Product unavailability;

  • Pricing errors;

  • Insufficient information;

  • Credit concerns;

  • Production limitations;

  • Supply-chain problems; or

  • Other reasonable commercial reasons.

The customer is responsible for reviewing all details in our quotation, sales order, drawing, specification or invoice before confirming the order.

Once confirmed, the customer will be deemed to have accepted the specifications contained in the relevant documents.

9. Custom and Made-to-Order Products

Many of our products are manufactured or procured specifically for a particular customer or project.

Custom or made-to-order products may include products involving:

  • Custom dimensions;

  • Custom colours;

  • Custom upholstery;

  • Custom fabrics;

  • Customer-specified materials;

  • Custom finishes;

  • Modified frames;

  • Custom logos;

  • Special construction;

  • Special packaging; or

  • Other customer-specific requirements.

Once production, material procurement or manufacturing has commenced, such orders generally cannot be cancelled, returned or exchanged due solely to a change of mind.

This does not affect any rights that cannot lawfully be excluded under applicable Malaysian law.

10. Customer Approval

Where applicable, the customer may be asked to approve:

  • Drawings;

  • Shop drawings;

  • Dimensions;

  • Materials;

  • Finishes;

  • Colours;

  • Fabric selections;

  • Samples;

  • Prototypes;

  • Technical specifications; or

  • Other production information.

Production may commence following approval.

The customer is responsible for checking approved information carefully.

Changes requested after approval may result in:

  • Additional costs;

  • Revised delivery dates;

  • Production delays; or

  • The need to manufacture replacement products.

11. Changes to Design or Specification

Any request by the customer to change an approved product, drawing, specification, material, finish, quantity or design may be treated as a variation.

We may:

  • Accept or reject the requested variation;

  • Revise the price;

  • Revise the production schedule;

  • Charge for materials or work already completed;

  • Charge additional design or production costs; and

  • Require further payment before continuing.

No variation is binding on us unless confirmed in writing.

12. Pricing

Unless otherwise stated:

  • Prices are quoted in Malaysian Ringgit (RM);

  • Prices apply only to the quantities and specifications stated;

  • Delivery and installation are not included unless expressly stated;

  • Taxes and government charges may be added where applicable.

If an obvious pricing or typographical error occurs, we reserve the right to correct it before completing the transaction.

If payment has already been made in relation to an obvious pricing error, we may offer the customer the option of:

  • Paying the corrected price; or

  • Cancelling the affected item and receiving a refund of the amount paid for that item.

13. SST and Taxes

Prices may be subject to Sales and Service Tax (“SST”) or any other applicable tax, duty, levy or government charge.

Where required by law, such amounts will be charged in addition to the quoted price unless expressly stated otherwise.

14. Payment Terms

Payment must be made in accordance with the payment terms stated in our quotation, invoice, sales order or agreement.

We may require:

  • A deposit;

  • Progressive payments;

  • Payment before shipment;

  • Payment before delivery;

  • Payment before installation; or

  • Full advance payment.

Unless expressly agreed otherwise in writing, we are not required to release or deliver goods while any amount due remains unpaid.

15. Deposits

Deposits may be used to secure:

  • Production capacity;

  • Materials;

  • Supplier commitments;

  • Manufacturing;

  • Procurement; or

  • Other costs associated with the order.

Once we have incurred costs or committed to production based on the order, a deposit may be non-refundable to the extent reasonably necessary to cover losses, costs, commitments and work undertaken.

Any treatment of deposits remains subject to applicable Malaysian law.

16. Credit Terms

Credit facilities are granted only where expressly approved by us.

Where credit terms are provided:

  • The customer must pay all invoices by their respective due dates;

  • Credit limits may be reviewed or withdrawn at any time;

  • We may suspend further orders or deliveries if amounts become overdue; and

  • We may require outstanding amounts to be paid before accepting new orders.

Granting credit on one occasion does not create an obligation to continue granting credit.

17. Overdue Payments

Where legally permissible and agreed in the applicable quotation, invoice or contract, overdue amounts may attract:

  • Late-payment charges;

  • Interest;

  • Debt-recovery costs; or

  • Reasonable legal costs.

We may suspend:

  • Production;

  • Shipment;

  • Delivery;

  • Installation;

  • Warranty processing; or

  • Further credit facilities

where material payment obligations remain outstanding, subject to applicable law and contractual terms.

18. Ownership of Goods

To the extent permitted by law, ownership in products supplied by us remains with us until full payment for those products has been received.

Risk may pass separately from ownership as specified in the applicable quotation, delivery terms or agreement.

The customer must not knowingly dispose of, pledge or encumber unpaid goods in a manner inconsistent with our ownership rights.

19. Delivery Dates

Any production or delivery date provided by us is an estimate unless expressly stated in writing to be a guaranteed date.

Delivery schedules may be affected by circumstances including:

  • Manufacturing delays;

  • Supplier delays;

  • Shipping delays;

  • Customs clearance;

  • Port congestion;

  • Freight disruption;

  • Material shortages;

  • Weather;

  • Public holidays;

  • Regulatory action;

  • Customer changes;

  • Site readiness; or

  • Events beyond our reasonable control.

We will use reasonable efforts to meet estimated schedules but cannot guarantee that all delays can be avoided.

20. Delivery

The customer must provide accurate:

  • Delivery addresses;

  • Contact details;

  • Site access information;

  • Building management requirements;

  • Loading instructions; and

  • Delivery restrictions.

Additional charges may apply where delivery requires:

  • Stairs;

  • Special lifting equipment;

  • Cranes;

  • Additional manpower;

  • Multiple delivery attempts;

  • Waiting time;

  • Restricted delivery hours;

  • Special permits; or

  • Delivery to areas not disclosed before quotation.

21. Site Access

The customer is responsible for ensuring that products can reasonably be delivered into the intended location.

The customer should verify:

  • Door widths;

  • Lift dimensions;

  • Staircases;

  • Corridors;

  • Ceiling heights;

  • Loading bays;

  • Access roads; and

  • Any other physical restrictions.

Unless expressly engaged to do so, we are not responsible for confirming that a product will physically fit through the customer’s access route.

Additional costs arising from unsuitable or restricted access may be charged to the customer.

22. Site Readiness

Where delivery or installation is scheduled, the site must be reasonably ready to receive the products.

This includes providing, where applicable:

  • Clear access;

  • Completed flooring;

  • Safe working conditions;

  • Adequate lighting;

  • Required electrical supply;

  • Lift access;

  • Building management approval; and

  • An appropriate storage or installation area.

If the site is not ready, we may reschedule delivery or installation and charge reasonable additional costs.

23. Storage

If completed goods cannot be delivered because of a customer-requested delay or because the site is not ready, we may arrange storage.

Reasonable storage, handling, transportation or insurance costs may be charged to the customer where applicable.

Risk relating to stored products may pass to the customer in accordance with the relevant contractual arrangements.

24. Inspection on Delivery

Customers should inspect products promptly upon delivery.

Where reasonably possible, visible shortages or obvious transport damage should be:

  • Noted on the delivery document; and

  • Reported to us promptly with photographs and supporting information.

Failure to immediately identify a defect does not remove rights that cannot lawfully be excluded, particularly where the defect could not reasonably have been discovered at delivery.

25. Installation

Where installation is included in our scope, installation will be carried out according to the agreed scope.

Unless expressly included, installation does not include:

  • Electrical works;

  • Plumbing;

  • Structural works;

  • Wall reinforcement;

  • Building modification;

  • Floor repair;

  • Ceiling work;

  • Removal of unrelated furniture;

  • Specialist lifting; or

  • Other third-party works.

Any additional work requested may be separately charged.

26. Defects and After-Sales Support

If you believe a product is defective, you should contact us with:

  • Your invoice or order reference;

  • A description of the issue;

  • Photographs or videos; and

  • Any other information reasonably requested.

We will assess the issue and, where appropriate, may:

  • Inspect the product;

  • Repair the product;

  • Replace defective components;

  • Replace the product;

  • Provide another appropriate remedy; or

  • Reject the claim where the issue is not attributable to a defect for which we are responsible.

Any remedy will be subject to applicable law and any specific warranty terms provided with the product.

27. Warranty Exclusions

Unless otherwise stated in writing, warranty coverage generally does not extend to damage caused by:

  • Misuse;

  • Abuse;

  • Accidents;

  • Improper cleaning;

  • Improper maintenance;

  • Unauthorised modifications;

  • Repairs performed by third parties;

  • Excessive weight or loading;

  • Commercial use outside the intended product specification;

  • Exposure to unsuitable outdoor conditions;

  • Excessive moisture;

  • Excessive heat;

  • Direct sunlight;

  • Chemicals;

  • Normal wear and tear;

  • Fabric pilling;

  • Natural material variation;

  • Gradual colour changes;

  • Customer-supplied materials; or

  • Failure to follow care instructions.

Nothing in these Terms excludes statutory rights that cannot lawfully be excluded.

28. Products Modified by the Customer or Third Parties

Where a product is modified, altered, dismantled, repaired or reworked by the customer or another party without our written approval, we may not be responsible for defects, failures, damage or safety issues caused by or related to such modification.

Any original warranty may cease to apply to the affected components or product to the extent permitted by law.

29. Customer-Supplied Materials

If a customer supplies fabric, leather, components or other materials for incorporation into a product, the customer is responsible for ensuring that the material is suitable for its intended use.

We do not guarantee the performance, durability, colourfastness or suitability of customer-supplied materials unless expressly agreed in writing.

Additional quantities may be required to account for pattern matching, defects, production tolerances or wastage.

30. Commercial and Contract Use

Certain furniture is designed for specific commercial environments.

The customer is responsible for informing us of unusual applications or requirements including:

  • Outdoor exposure;

  • Heavy-duty usage;

  • High-humidity conditions;

  • Healthcare use;

  • Marine environments;

  • Extreme loading;

  • Fire-rating requirements; or

  • Other regulated applications.

We are responsible only for performance requirements that we have expressly agreed in writing.

31. Compliance Requirements

Where a project requires specific:

  • Fire ratings;

  • Certifications;

  • Testing;

  • Building standards;

  • Hotel standards;

  • Sustainability certifications; or

  • Regulatory approvals,

these requirements must be communicated to and expressly accepted by us before order confirmation.

Unless expressly stated, a quotation should not be interpreted as confirmation that a product meets a project-specific regulatory standard.

32. Cancellations

Cancellation requests must be made in writing.

Whether cancellation is accepted will depend on factors such as:

  • Whether production has commenced;

  • Whether materials have been ordered;

  • Whether products are customised;

  • Whether suppliers have been paid;

  • Whether shipping has been arranged; and

  • Costs already incurred.

Where cancellation is accepted, we may deduct reasonable costs and losses already incurred before refunding any remaining balance, subject to applicable law.

33. Returns and Exchanges

Products may not be returned or exchanged merely because of a change of mind unless we agree otherwise.

Custom-made, customised, specially sourced or made-to-order products are generally not returnable once production or procurement has commenced.

This clause does not exclude remedies available for defective products or other statutory rights under applicable Malaysian law.

34. Force Majeure

We will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters;

  • Floods;

  • Fires;

  • Epidemics or pandemics;

  • War;

  • Civil disturbance;

  • Government restrictions;

  • Industrial disputes;

  • Port closures;

  • Shipping disruption;

  • Supplier failure;

  • Material shortages;

  • Power outages;

  • Customs delays; or

  • Other similar events.

Where such circumstances occur, our obligations may be suspended for a reasonable period.

We will use reasonable efforts to minimise disruption.

35. Intellectual Property

Unless otherwise stated, all intellectual property relating to our website and marketing materials belongs to us or is used under licence.

This may include:

  • Website content;

  • Photographs;

  • Product photography;

  • Trade names;

  • Text;

  • Videos;

  • Catalogues;

  • Layouts;

  • Designs; and

  • Digital content.

You may not reproduce, distribute, modify, publish, commercially exploit or otherwise use such material without appropriate permission.

36. Third-Party Designs

Some products supplied by us may incorporate designs, trademarks, fabrics, materials or components owned by third parties.

References to third-party brand names or designs are for identification and description purposes where appropriate and do not necessarily imply affiliation or endorsement.

37. Customer-Provided Designs and Information

Where a customer provides:

  • Drawings;

  • Designs;

  • Logos;

  • Artwork;

  • Specifications;

  • Photographs; or

  • Other materials,

the customer represents that it has the right to provide and use such materials for the intended project.

The customer is responsible for claims arising from materials supplied by the customer where their use infringes another party’s rights, except to the extent caused by our own conduct.

Use of third-party services is subject to the relevant third party’s terms.

41. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special or consequential loss arising from a transaction with us where such loss was not reasonably foreseeable or was not caused by our breach.

For business customers, unless expressly agreed otherwise in writing and to the extent permitted by law, our aggregate liability arising from a particular order will generally not exceed the amount actually paid to us for the affected products or services.

Nothing in these Terms excludes or restricts liability that cannot legally be excluded or restricted.

42. Business Customers

Where products or services are acquired primarily for business purposes, the transaction is treated as a business-to-business transaction to the extent permitted by law.

The parties acknowledge that commercial customers may negotiate project-specific terms separately.

Nothing in these Terms is intended to incorrectly classify a consumer transaction as a business transaction.

43. Consumer Rights

Nothing in these Terms is intended to exclude, restrict or modify any guarantee, right or remedy that cannot lawfully be excluded under Malaysian law, including applicable provisions of the Consumer Protection Act 1999.

Where any provision of these Terms conflicts with a mandatory consumer protection law, the mandatory law will prevail to the extent of the conflict.

44. Personal Data

Our collection and processing of personal data is governed by our Privacy Policy & Personal Data Protection Notice.

By providing personal data to us, you acknowledge that such information will be handled in accordance with our Privacy Policy and applicable Malaysian data protection law.

Customers agree that ordinary business communications may be conducted through channels including:

  • Email;

  • WhatsApp;

  • Telephone;

  • Messaging applications; or

  • Other agreed electronic channels.

Instructions, confirmations or approvals sent through these channels may be relied upon where it is reasonable to do so.

Customers should promptly notify us if an authorised contact person changes.

46. Electronic Documents

Where permitted by law, quotations, invoices, purchase confirmations, approvals, notices and other documents may be issued or accepted electronically.

Electronic acceptance, written confirmation through email or messaging platforms, or payment made pursuant to a quotation may constitute evidence of acceptance where appropriate.

47. No Waiver

If we do not immediately exercise a right under these Terms, that does not mean we have waived that right.

A waiver is effective only to the extent expressly given.

48. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

49. Assignment

The customer may not transfer its contractual rights or obligations to another party without our prior written consent where such consent is reasonably required.

We may transfer or assign our rights and obligations as part of a legitimate business restructuring, sale, merger or corporate transaction, subject to applicable law.

50. Changes to These Terms

We may update these Terms from time to time to reflect changes in:

  • Our business;

  • Our products or services;

  • Technology;

  • Applicable law; or

  • Commercial practices.

The version published on our website will state its latest revision date.

Changes will not retrospectively alter an existing confirmed contract unless agreed or permitted by law.

51. Governing Law

These Terms and transactions governed by them are subject to the laws of Malaysia.

Subject to any applicable statutory rights or tribunal jurisdiction, the courts of Malaysia will have jurisdiction over disputes arising from these Terms or our transactions.

52. Dispute Resolution
